Corporate Profile

Scopus Technology, Inc., headquartered in Emeryville, California, is a leading provider of client/server software solutions for the customer information management market. The Company's applications, Scopus SupportTEAM, Scopus QualityTEAM, Scopus SalesTEAM, and Scopus ServiceTEAM automate external customer support and internal help desk support, the product design change process, and sales and marketing activities. Scopus applications are designed to enable organizations to build a knowledgebase of customer information that can be accessed and used by individuals throughout the enterprise to improve customer support and satisfaction. The Company's products are based on a modular, open architecture and support a variety of client computing platforms, industry standard relational databases, and server operating systems. Scopus products offer customers a unique combination of built-in functionality, customizability, adaptability and scalability. The Company also offers consulting, training and post-sale maintenance and support services to facilitate the installation and use of the Company's products.

The Company's objective is to become the leading supplier of enterprise customer information management software solutions for the global marketplace. To achieve this objective, the Company is pursuing the following strategies: maintain technological leadership position, build relationships with third party consulting organizations, continue to develop pre-packaged solutions, and expand worldwide distribution.

In June, 1995, Scopus entered into a non-exclusive, worldwide distribution agreement with Northern Telecom, Inc., a provider of communications products, systems and networks. The agreement authorizes Northern Telecom to bundle Scopus software with its communications products for advanced computer/telephony integrations and sell such products through Northern Telecom's worldwide network of distributors. The Company is exploring other distribution arrangements to broaden its domestic and international channels, and plans to expand its sales force both domestically and internationally.

For the fiscal quarter ending June 30,1996, Scopus revenues climbed 69% to $10.3 million from $6.1 million a year earlier. Net income increased to $800,000 from $ 100,000. Scopus Technology is one of the country's fastest growing companies in an industry segment which is growing rapidly.

Presenter

Ori Sasson is a co-founder of Scopus Technology and has served as Scopus' Chairman of the Board since the Company's inception in March 1991. Mr. Sasson has also served as Scopus Technology's Chief Executive Officer and President since February 1994 and as Secretary from March 1991 to February 1992. From January 1990 to March 1991 and from September 1986 to January 1988, Mr. Sasson was an independent software design consultant. From January 1988 to January 1990, Mr. Sasson was a software engineer at Sybase Corporation, a client/server relational database management software company. From December 1984 to August 1986, Mr. Sasson was a support engineer at Hewlett Packard Company, a manufacturer of computers and related products. Mr. Sasson earned a B.A. degree in Computer Science and a M.S.C. degree in engineering both from the University of California at Berkley.

Moderator

Neil Kaden is Senior Manager, Solutions Implementation & Support in the Call Center Solutions Division at Nortel Enterprise Networks (Northern Telecom). In this position he is responsible for overseeing system integration services, support for client/server, and CTI (computing telephony integration) based call center solutions as well as for support to Nortel CTI strategic partners. In eighteen years at Nortel product and R&D business units, he has held a number of management positions with several product groups which include marketing operations, sales fulfillment, product architecture, strategic planning, Information Technology, new product development, and customer support. He has helped launch Nortel's wireless and Personal Communications Services (PCS) products, as well as its switching products for the long-distance and international markets. A founding Executive Committee member of the MIT Enterprise Forum at UT Dallas, he serves as an Advisory Director of InteliHome, Dallas. He holds a B.S. degree in computer science from MIT and a M.S.C, degree from the University of Toronto.

Panelists

Bill Deckelman is Managing Shareholder of the Austin office of Munsch Hardt Kopf Harr & Dinan. Mr. Deckelman began his legal career with Winstead, Sechrest & Minick as an associate in the corporate and securities areas. Later he joined MTech Corp., a large financial services data processing firm, where he had both legal and acquisition responsibilities. Following the acquisition of MTech by Electronic Data Systems Corporation in 1988, Mr. Deckelman continued with EDS working primarily on acquisition and outsourcing transactions. In February 1989, Mr. Deckelman joined Affiliated Computer Services, Inc., as Executive Vice President and General Counsel and as a member of the ACS Board of Directors. In addition to negotiating dozens of large computer outsourcing contracts while General Counsel of ACS, he was also responsible for the successful completion of approximately 35 acquisitions. Mr. Deckelman holds a M.B.A. and a law degree. He graduated with honors from the University o Arkansas School of Law in 1981 and was a member of the Arkansas Law Review.

Max Hopper, Principal of Max D. Hopper Associates, has been a director of Scopus Technology since April 1995. From November 1985 to January 1995, Mr. Hopper served in various positions at American Airlines, a subsidiary of AMR Corporation, an international travel provider. He was Senior Vice President, Information Systems and Chairman of the SABRE Group. Mr. Hopper earned a B.S. degree in mathematics from the University of Houston. He is also a director of BBN, Computer Language Research, Gartner Group, Gupta Corporation, USDATA Corporation, VTEL Corporatit3.n, and Worldtalk Corporation.

Albert Johnson is currently an independent consultant. Prior to his retirement from KimberlyClark Corporation, he was Vice President, Investor Relations. He is highly regarded among investors for his representation of the company. Earlier in his 28 year career at Kimberly-Clark, he held a variety of financial analysis and management positions in operations divisions, the controller's department, and the treasurer's office. For one-and-one-half years, Mr. Johnson was Corporate Secretary. He is a Director of InteliHome, Dallas and an Advisory Director of Sweetwater Healthcare Enterprises, Dallas. From 1969 to 1979 was a Director of Barnes Drill Company, Rockford, Illinois. He graduated with a M.B.A. in finance from Northwestern University in 1967 and a B.A. in economics from Grinnell College in 1965.

John Ryan is the Vice President and General Manager, Multimedia Business Applications, Nortel Enterprise Networks. In this capacity, he is responsible for the Multimedia Communications Systems Global Multimedia thrusts. These thrusts include Desktop Multimedia, Multimedia Mobility (Companion), Internet Access (Rapport), Multimedia Call Centers and Messaging, and the mobility thrusts for Nortel's PBX and Multimedia products in North America. Prior to assuming this role in October 1995, Mr. Ryan was the Vice President and Business Manager, Meridian Integrated Solutions. He has also held senior positions with Northern Telecom including AVP Marketing, Multimedia Business Solutions, AVP Marketing, Norstar and Terminals; Director of Marketing, U.S. Switching; Account Director/Director of Marketing, Switching and Transmission - Northeast Region; Director of Customer Service Switching - Northeast Region; and Controller - Northeast Region. Mr, Ryan has a bachelor of mathematics from the University of Waterloo, Ontario, Canada and is a Chartered Accountant.
